Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BrewCircle (“BrewCircle,” “we,” “us”), the software platform that lets homebrewing clubs run membership, events, dues, email, competitions, and a public website. By creating a club, joining a club, or otherwise using BrewCircle, you agree to these Terms. If you are agreeing on behalf of a club or organization, you represent that you have authority to bind it.

1. The service

BrewCircle provides hosted software that a club’s organizers use to publish a website, manage members, collect dues and event or competition fees, send email, and administer homebrew competitions. Each club operates as a separate tenant with its own site, members, and data. We may add, change, or remove features over time.

2. Accounts and sign-in

BrewCircle uses passwordless sign-in: we email a single-use “magic link” to verify your identity. You are responsible for keeping access to your email account secure, for activity that occurs under your account, and for the accuracy of the information you provide. Notify us promptly of any unauthorized use.

3. Club owners and organizers

A person who creates a club (“Owner”) and the organizers they designate are responsible for how that club uses BrewCircle, including the content they publish, the emails they send, the fees they charge, and their handling of member information. If you are a club member, your relationship regarding club activities, dues, and refunds is primarily with your club; BrewCircle provides the tools but does not run your club.

4. Acceptable use

You agree not to:

• Use BrewCircle for unlawful purposes or to promote unlawful activity, including sales of alcohol where you are not licensed to do so;
• Send spam or email to people who have not agreed to hear from your club, or otherwise violate anti-spam laws (see also our unsubscribe requirements below);
• Upload content that infringes others’ rights, is defamatory, or is otherwise objectionable;
• Attempt to access other clubs’ data, probe or breach security, or disrupt the service;
• Misrepresent your identity or a club’s affiliation.

Homebrewing and competition features are intended for lawful, of-legal-drinking-age use. Clubs are responsible for complying with the alcohol, competition, and event laws that apply to them.

5. Email and communications

Clubs may send announcements and newsletters to their members through BrewCircle. Every broadcast includes an unsubscribe mechanism, and clubs must honor opt-outs and applicable anti-spam law (such as the U.S. CAN-SPAM Act). Transactional messages (for example, sign-in links, RSVP and payment confirmations, and dues reminders) are part of the service and may still be sent to relevant members. We may suppress email to addresses that hard-bounce.

6. Fees and payments

Platform subscription. Clubs choose a plan (including a one-time signup option and recurring paid plans). Recurring fees are billed in advance on the interval you select and are non-refundable except where required by law. You can change or cancel your plan from your club’s billing settings; cancellation takes effect at the end of the current billing period.

Payments you collect. Dues, event tickets, and competition entry fees are processed through Stripe using your club’s own connected Stripe account. Those funds go to your club, and BrewCircle deducts a per-transaction platform fee. You are responsible for the terms, taxes, and refunds associated with the money you collect from your members and entrants. BrewCircle is not a party to those transactions and does not hold your funds.

Card data. Payment card details are handled by Stripe; BrewCircle does not receive or store full card numbers.

7. Your content

You and your club retain ownership of the content you upload (logos, photos, posts, pages, member records, and the like). You grant BrewCircle a non-exclusive license to host, store, display, and process that content solely to operate and improve the service. You are responsible for having the rights to the content you upload and for backing up anything you can’t afford to lose.

8. Member data

When a club uses BrewCircle to manage its members, the club determines what member information it collects and how it is used; BrewCircle processes that information on the club’s behalf as described in our Privacy Policy. Clubs must have a lawful basis for collecting member data and must handle it responsibly.

9. Suspension and termination

You may stop using BrewCircle at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or fail to pay fees. Where practical we will give notice. On termination, your right to use the service ends; we may delete data after a reasonable period, so export anything you need first.

10. Disclaimers

BrewCircle is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the fullest extent permitted by law, BrewCircle will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars (US$100).

12. Indemnification

You agree to indemnify and hold BrewCircle harmless from claims and expenses arising out of your content, your use of the service, the fees or funds you collect, or your violation of these Terms or of any law or third-party right.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of BrewCircle after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the United States and the state in which BrewCircle is established, without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction over disputes, except where applicable law provides otherwise.
